Article I. Name of Organization
This organization shall be called the Kansas City Chapter of the International Society for Performance Improvement (ISPI).
Article II. Organization Purpose
Members of the Kansas City Chapter of ISPI are committed to improving human performance by advancing the art and science of performance and instructional technology. Furthermore, we are dedicated to adding new knowledge and ideas to the performance arena, promoting application of methods that produce a positive impact on performance, and providing professional development activities.
Article III. Chapter Goals
The stated goals of this chapter will directly support the goals of the International ISPI. The goals of the Kansas City Chapter are designed to:
1. Promote the professional development of its members in the technology of performance and instruction;
2. Build on and expand the existing resources and services in performance and instructional technologies in the local business, industry, government, and academia;
3. Exchange information about improving human performance and instruction;
4. Encourage the application and evaluation of performance and instructional technologies for human learning;
5. Provide assistance and guidance on performance and instruction to others;
6. Recognize the outstanding contributions by members in the technology of performance improvement and to the chapter.
Article IV. Chapter Services
As a local ISPI chapter, Kansas City, provides the following services to its members:
- Regular meetings with presentations by professionals in performance and instructional technologies or related fields;
- Publication of a regular newsletter for communication and dissemination of information;
- A directory of members to foster the exchange of information;
- Special activities to enhance the state-of-the-art and science of performance and instructional technologies.
Article V. What Our Chapter Represents
We are committed to advancing the science of improving human performance and instructional technology. The Kansas City Chapter members share the following beliefs:
- Individuals, groups, and organizations can be changed through systematic intervention and evaluation;
- Chapter members are committed to obtaining the latest information on performance technologies.
- Chapter members are mutually supportive of professional contacts and development with a spirit of sharing information rather than soliciting business;
- Chapter members support active relationships among education, industry, and government;
- Chapter members are concerned about applications of our technology and want to present models of the highest quality;
- Chapter members promote professional skill development for our membership;
- Active participation by all members will result in a strong and growing chapter organization.
Article VI. Membership
Section i. Eligibility
Membership is available to any individual willing to support the Chapter's purpose and professional values. A member will be considered in good standing upon submitting a membership application and complete payment of fees for the current fiscal year. The fiscal year runs from January 1st to December 31st.
Section 2: Chapter Membership Categories
- Regular Members - All members in good standing, not otherwise categorized as Charter Members, whose names appear on the membership roster are categorized as Charter Members.
- Charter Members - All members in good standing whose names appear on the membership roster by 12/31/90 for the 1990 fiscal year are categorized as Charter Members.
- Associate Members - Full time college students and/or front line operational managers needing to learn more about the field of Human Performance. These members will have limited membership established by the Chapter Management Council compared to other regular members.
Section 3: Member Entitlements
All categories of members in good standing will be entitled to vote and hold Chapter Offices (note: President and President-Elect must also be international ISPI members during their term of office). All members are entitled to receive notice and attend all planned activities and events, and to receive all Chapter publications. Members are also strongly encouraged to present, hold, and sponsor Chapter events.
Article VII. Government
Section 1: Chapter Management Council
The Chapter Management Council is chartered to determine policies, create procedures, and make decisions regarding the activities and objectives of the chapter.
The Chapter Management Council shall consist of six (6) elected officers. Other committee chairs may be included by majority vote of Council members.
Section 2: Chapter Authority
All Chapter Members in good standing have voting rights to amend this constitution, elect Chapter officers, and decide policy questions presented by the Chapter Management Council. Chapter Members may also confirm, revise, or repeal the action of the Chapter Management Council or any Chapter Officer through initiative ballot.
Section 3: Chapter Officers
All officers must be local chapter members in good standing. In addition, the President and President-Elect must be active international ISPI members during their term of office.

Section 4: Terms of Office
The Chapter Management Council of the Kansas City Chapter shall serve a term of approximately one year, beginning when duly elected by the membership and ending on the date their newly elected successors take office. The President-Elect will succeed the President.
Vacancy of the President's position will be filled by the President-Elect until the next scheduled election. Vacancy of the President-Elect's position will be filled at the next scheduled election. Any other vacancy will be filled by a Chapter Member of the President's choice and approved by a majority vote of the Chapter Management Council.
Any officer may resign at any time by giving written notice to the President, the Secretary / Treasurer or to the Chapter Management Council. Such resignation shall take effect at the time specified therein, or if no time is specified, at the time of acceptance thereof as determined by the President or the Chapter Management Council. An officer can be recommended for impeachment in case of unethical or illegal behavior, by a majority vote of the Chapter Management Council.
Section 5: Nominating Procedures
Nominees will be placed on the ballot only with their consent. Nominations may be submitted by mail or from the floor at the Chapter meeting. Nominees will be announced either at a regularly scheduled Chapter activity or in the newsletter, or both. A list of nominees for Chapter offices will be presented to the membership by the Chapter Management Council at least one month prior to elections.
Section 6: Elections
Elections will be conducted by mail-in ballot. Election winners will be determined by a majority vote. Run-off elections will be held in the event of a tie. Announcement of election results will be made at the next scheduled Chapter activity, published in the next newsletter, or both.
Section 7: Additional Offices and Task Forces
The Chapter Management Council may appoint additional chairpersons and form task forces to facilitate Chapter goals and objectives as required. These task forces can be dissolved at any time by majority vote of the Council.
Article VIII Organization of Meetings
Section 1: Quarterly Meetings
Chapter meetings or other activities will normally be scheduled at least once a quarter. Locations of these meetings will be reasonably convenient to Chapter member Announcement of Chapter meetings or activities shall be circulated to the membership at least fourteen (14) days prior to the event.
Section 2: Special Meetings
The Chapter President or Chapter Management Council may call special meetings of the members as needed. Chapter supported events can also be held by five (5) or more members by first obtaining approval of the Council and by notifying the Council at least one week in advance.
Article IX. Affiliation with International Organization
Section 1: Requirements
No conflict may exist between the constitutions of the Kansas City Chapter and the international organization.
The international organization shall be informed of all amendments to the local constitution. The international organization must possess a current and accurate list of Chapter officers, committee chairpersons, and their mailing addresses.
Notwithstanding any other provision of these articles, the Chapter shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from Federal Income Tax under Section 501(c) (3) of the Internal Revenue Code of 1954 (or corresponding provision of any future United States Internal Revenue Law) or (b) by a corporation, contribution to which are deductible under Section 170(c) (2) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Revenue Law)
Section 2: Privileges
The Chapter will maintain autonomy in the determination of all decisions regarding dues, meeting schedules, programs, elections, local offices, as contained in the constitution. The Kansas City Chapter shall enjoy all rights, privileges, and resources extended to other local chapters by the international organization.
Article X Adoptions and Amendments
Section 1: Adoptions
This constitution shall go into effect when adopted by a majority vote of the members.
Section 2: Amendments
This constitution may be amended by a majority of the members. The proposed amendment or amendments must be submitted to the Chapter Management Council by petition of 10% or more of the members
Section 3: Dissolution
If the Chapter determines to terminate its activities and dissolve, all the assets and property of the Chapter, without exception, shall be transferred to the National Society for Performance and Instruction. However, if the recipient is not then in existence or no longer a qualified distributee, or unwilling or unable to accept the distribution, then the assets of the Kansas City Chapter, ISPI, shall be distributed to a fund, foundation, or corporation organized and operated exclusively for purposes specified in Section 501 (c) (3) of the Internal Revenue Code.
